1. Agreement
These Terms of Service ("Terms") govern your use of the Saleh Consulting web application (the "App") operated by Saleh Consulting LLC ("Saleh Consulting," "we," "us"). By accessing or using the App, you agree to these Terms. If you do not agree, do not use the App. Our professional services are provided under a separate engagement agreement; if these Terms conflict with that agreement, the engagement agreement controls for those services.
2. Accounts
Access to the App is by invitation. You must provide accurate information, keep your login credentials confidential, and tell us right away at support@salehsconsulting.com if you suspect unauthorized use. You are responsible for activity under your account.
3. Acceptable use
You agree not to: (a) access information you are not authorized to see; (b) attempt to disrupt, probe, or bypass the security of the App; (c) upload malicious code or unlawful content; (d) use the App to violate any law or the rights of others; or (e) share your login with anyone else.
4. Your data
You keep ownership of the information and documents you upload or connect to the App. You give us permission to store, process, and display that information as needed to provide the App and our services to you, as described in our Privacy Policy. You are responsible for having the right to upload the information you provide.
5. Connected services
The App can connect to third-party services such as Google (Calendar, Gmail, Drive) and QuickBooks. Connecting them is optional, and you can disconnect them at any time. Those services are governed by their own terms and privacy policies.
6. Not professional advice by itself
The App, including any reports, summaries, and AI-assisted features, is a tool that supports our services. Outputs may contain errors and should be reviewed before you rely on them. Tax, accounting, and financial advice is given only under a signed engagement with us.
7. Electronic signatures
If you sign a document through the App, you agree that your electronic signature is legally binding to the same extent as a handwritten signature, as permitted by law.
8. Availability and changes
We work to keep the App available and secure, but we do not guarantee uninterrupted or error-free service. We may update, change, or discontinue features at any time.
9. Suspension and termination
We may suspend or end your access if you violate these Terms or if needed to protect the security of the App or other users. You may stop using the App at any time. On request, we will help you export your information, subject to our engagement agreement and legal obligations.
10. Disclaimer
The App is provided "as is" and "as available," without warranties of any kind, to the fullest extent permitted by law.
11. Limitation of liability
To the fullest extent permitted by law, Saleh Consulting will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the App. Our total liability for any claim relating to the App is limited to the amount you paid us for the services in the three months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law.
12. Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Disputes will be handled in the state or federal courts located in Harris County, Texas.
13. Changes to these Terms
We may update these Terms from time to time. We will change the effective date above and, for significant changes, notify users in the App or by email. Continued use after changes means you accept them.
